원양 참치와 B2B 계열사가 이익 체력을 지탱하는 가운데, 내수 B2C 부진과 대형 인수합병(M&A)을 둘러싼 주주환원 지연이 같은 무게로 놓인 구간이다.
동원산업은 동원그룹의 사업형 지주회사로, 별도 기준으로는 원양 참치 어획과 수산물 유통, 물류·건설 사업을 직접 영위한다. 연결로는 참치캔·양반·펫푸드 등을 만드는 동원F&B, 식자재·급식·조미식품의 동원홈푸드, 포장재의 동원시스템즈, 3자물류의 동원로엑스, 미국 참치캔 1위 브랜드 스타키스트, 세네갈 수산가공사 스카사를 두고 있다. 2025년 지배구조 개편으로 동원F&B·동원홈푸드·스타키스트·스카사를 묶은 '글로벌 푸드 디비전' 체계가 만들어져 식품 사업의 컨트롤타워가 일원화됐다. 동원F&B는 포괄적 주식교환을 거쳐 2025년 7월 31일 상장폐지되고 동원산업의 100% 자회사가 됐으며, 이 과정에서 추가 상장된 주식은 452만 3,902주로 전체 주식수의 10.25%에 해당한다. 매출 구성에서 식품 비중이 절대적인데, 2024년 기준 동원산업 매출의 절반 가량(4조 4,836억원)을 동원F&B가 차지했다. 스타키스트는 연 1조원 이상을 벌어들이며 동원산업 매출의 11%(1조 1,894억원)를 담당하는 미국 1위 사업자로 소개된 바 있다. 미국 참치 통조림 시장 점유율은 45% 수준, 연 매출은 약 8억달러로 알려져 있다. 경쟁 구도는 국내에서 사조산업·동원수산 등 원양·수산 기업과, 해외에서 태국·미국계 글로벌 통조림 브랜드가 상대가 되며, 가공식품 쪽에서는 CJ제일제당·대상 등 종합식품사와 경쟁한다. 즉 이 회사는 '어획(원료) → 가공 → 포장재 → 물류'를 그룹 안에서 수직으로 묶은 구조이며, 이 수직 통합이 원가 흡수력의 원천이자 동시에 경기·원가 변수에 여러 갈래로 노출되는 통로이기도 하다.
연간 흐름은 외형 정체 뒤의 이익 회복으로 요약된다. 매출은 2022년 9조 263억원, 2023년 8조 9,486억원, 2024년 8조 9,442억원으로 3년간 제자리였으나 2025년 9조 5,837억원으로 다시 늘었고, 영업이익은 4,944억원(2022) → 4,647억원(2023) → 5,013억원(2024) → 5,161억원(2025)으로 5% 초중반 영업이익률을 유지했다. 반면 지배주주 순이익은 2023년 2,250억원에서 2024년 753억원으로 급감했다가 2025년 3,670억원으로 되돌아왔는데, 이는 영업 자체의 변동이 아니라 미국 자회사 스타키스트의 참치 가격 담합 민사 합의금 약 2,100억원이 2024년 손익에 반영된 일회성 효과가 크다. 2025년에는 동원F&B 완전자회사 편입으로 비지배지분이 4,503억원에서 1,737억원으로 줄어, 같은 이익이라도 지배주주에게 귀속되는 몫이 커진 구조 변화도 함께 나타났다. 분기로 보면 2025년 2분기 매출 2조 3,586억원·영업이익 1,336억원에서 2025년 3분기 2조 5,865억원·1,481억원, 2025년 4분기 2조 3,192억원·1,095억원(영업이익률 4.7%로 연중 최저), 2026년 1분기 2조 5,300억원·1,462억원, 2026년 2분기 2조 5,720억원·1,515억원으로 이어졌다. 2026년 2분기 영업이익률은 5.9% 수준으로 최근 다섯 분기 중 가장 높았고, 지배주주 순이익은 1,011억원으로 직전 분기(1,109억원)보다 줄어 영업이익 증가와 순이익 방향이 어긋났다. 회사 설명에 따르면 별도 기준 상반기 매출은 6,322억원으로 9.1%, 영업이익은 1,226억원으로 2.7% 증가했고 횟감용 참치·고등어 등 수산물 유통 확대가 이를 뒷받침했다. 계열별로는 동원F&B가 온라인 성장에도 원가 부담과 오프라인 경쟁 심화로 영업이익이 7.2% 감소한 반면, 동원홈푸드는 조미식품·식자재·급식·축산물 유통 전 사업에서 고르게 실적을 냈다. 동원시스템즈는 상반기 매출 7,400억원(+5.2%)·영업이익 444억원(+15.5%)을 기록했고 친환경 포장재 수출과 해외 자회사 성장이 기여했으며, 동원로엑스도 신규 화주와 운송 효율화로 매출이 10% 가까이 늘었다. 재무 측면에서는 2025년 영업활동 현금흐름 4,660억원, 부채비율 110.1%로 2023년(146.4%) 대비 레버리지가 낮아졌다.
참치 사업의 손익은 어가(원료 가격)와 어획량, 환율, 유가라는 네 변수의 조합으로 결정된다. 하나증권은 2026년 4월 보고서에서 선망 참치 어가가 톤당 1,800달러로 전년 대비 14% 올랐고 어획량도 8% 늘 것으로 추정하면서, 스타키스트 역시 연초 파우치 제품 가격을 약 10% 인상해 마진 개선이 기대된다고 전망했다. 어가 상승은 원양 어획 부문에는 판매단가 상승으로, 가공·통조림 부문에는 원가 상승으로 반대 방향으로 작용해 그룹 내에서 일부 상쇄된다. FAO GLOBEFISH는 2025년 초 세계 주요 어장의 참치 어획량이 줄고 서부·중부 태평양 부진으로 냉동 가다랑어 가격이 강세를 보였다고 분석했다. 전방 수요 측면에서는 국내 가공식품 가격 인상이 이어지고 있는데, 동원F&B는 2026년 9월 1일부터 동원참치를 포함한 참치캔 가격을 평균 9% 인상하기로 했고, 회사는 고유가·고환율·포장재 가격 급등을 이유로 들었다. 자원 관리 규제도 상수다. 중서부태평양수산위원회(WCPFC)는 2024년 연례회의에서 한국의 2025~2026년 참다랑어 연간 어획 한도를 748톤에서 1,219톤으로 늘렸다. 경쟁 포지션 면에서 이 회사는 국내 원양업계에서 규모가 가장 크고 미국 통조림 시장에서도 상위 사업자를 보유하고 있어 원료-가공-유통 전 구간에 걸친 사업 폭이 경쟁사보다 넓지만, 그만큼 내수 소비 위축과 환율 상승이 동시에 나타날 때 방어 지점도 분산된다. 그룹의 성장 서사는 내수에서 해외로 옮겨가 있으며, 동원F&B의 글로벌 매출이 전체의 2.2% 수준(973억원, 2024년 기준)에 불과했다는 점은 기회와 과제를 동시에 보여준다.

회사가 공개한 방향성은 '글로벌 식품'과 'M&A' 두 축이다. 동원그룹은 글로벌 푸드 디비전을 중심으로 글로벌 M&A에 집중해 다각화를 통한 성장을 추진하겠다고 밝혔다. 식품 계열사를 '글로벌 식품 디비전'으로 통합하고 연구개발 조직을 글로벌 R&D 센터로 재편하며, 연구개발비 비중을 2024년 0.3%에서 2030년까지 1% 이상으로 확대한다는 방침도 제시했다. 펫푸드에서는 뉴트리플랜의 미국·일본 성장을 바탕으로 해외에 국내의 3배 규모 신규 생산 라인을 구축할 계획이며, 스타키스트의 서사모아 공장이 펫푸드 전용 라인 증설 후보로 검토되고 있다. 다만 자금 배분의 최대 변수는 HMM이다. 동원산업은 2026년 2월 콘퍼런스콜에서 HMM 인수설에 대해 진행 중인 거래가 아니라 검토 단계라고 밝히면서, 대규모 투자 윤곽이 구체화되면 배당성향을 다시 논의하고 자사주 소각도 병행하겠다는 입장을 전했다. 회사는 복수의 M&A를 검토 중이라며 자금 조달 차원에서 스타키스트의 가치산정을 외부 평가기관에 의뢰하는 계획과 금융기관 조달 가능 규모를 함께 검토하고 있다고 공시했다. 다만 동원산업은 특정 기업 인수와 관련해 구체적으로 결정된 사항은 없다는 입장을 유지하고 있다. 결과적으로 향후 몇 분기의 관전 포인트는 실적의 추세보다 자본 배분의 선택 — 대형 인수에 현금을 쓰는지, 환원 확대로 돌리는지 — 에 놓여 있다.

2026년 2분기 연결 영업이익은 1,515억원으로 최근 다섯 분기 중 가장 높았고, 영업이익률도 5.9% 수준으로 개선됐다. 회사는 고환율·원가 상승·내수 침체로 B2C 식품이 어려움을 겪었지만 식자재 유통·포장재·물류 등 B2B 부문의 판로 확대와 수출 증가가 그룹 실적을 견인했다고 설명했다. 동원시스템즈의 경우 재활용 가능한 친환경 포장재 '유니소재'를 앞세워 북미·아시아·아프리카를 공략해 수출액이 전년 동기 대비 약 20% 증가했다고 밝혔다. 여러 사업이 서로 다른 사이클을 타는 구조가 특정 부문 부진을 상쇄하는 방식으로 작동한 셈이다.
하나증권은 2026년 4월 보고서에서 참치 어가 상승과 어획량 증가로 주력 참치 사업의 이익 개선이 예상된다고 전망했다. 국내에서도 동원F&B가 2026년 9월 1일부터 참치캔 가격을 평균 9% 인상한다고 밝혀, 원가 상승분을 판가로 옮기는 통로가 실제로 작동하고 있음을 보여줬다. 원양 어획(판매단가 수혜)과 통조림 가공(원가 부담)이 한 지붕 아래 있어 어가 변동의 순효과가 완충되는 구조도 있다. 가격 인상 효과는 통상 반영 시차가 있어 다음 몇 분기 마진에서 확인될 사안이다.
부채비율은 2023년 146.4%에서 2025년 110.1%로 낮아졌고, 2025년 영업활동 현금흐름은 4,660억원이었다. 더벨에 따르면 2025년 상반기 말 기준 현금 및 금융자산은 약 6,200억원 규모였다. 동원F&B가 지주사 체제로 편입되며 자금 조달과 경영 통합이 수월해져 외형 확장이 가능해졌다는 평가도 나왔다. 이 재무 여력이 해외 식품 M&A나 펫푸드 증설 같은 성장 카드로 실제 집행되는지가 관전 포인트다.
동원F&B는 온라인 경로 성장에도 원가 부담 누적과 오프라인 경쟁 심화로 2026년 2분기 영업이익이 7.2% 감소했다. 그룹 매출의 절반 가까이를 차지하는 부문의 수익성이 흔들리면 연결 마진 개선 폭이 제한된다. 동원시스템즈도 고환율·고유가·내수 침체로 국내 사업이 전반적으로 어려웠다고 설명했다. 가격 인상으로 원가를 넘길 수는 있으나, 필수재가 아닌 품목에서는 판매량 감소라는 반작용이 따라올 수 있다.
2025년 결산 연결 배당성향은 13.8%로 2023년(17.6%)보다도 낮았다. 회사는 2026년 2월 콘퍼런스콜에서 목표했던 배당성향 20~25% 상향을 달성하지 못했다고 밝히며 식품 사업 M&A 등 투자 재원 확보 필요성을 이유로 들었다. 그러나 반년이 넘도록 M&A의 구체적 대상이나 규모는 공시된 바 없다. 증권업계에서는 기업 및 주주가치 제고를 위한 투자자들의 건설적인 제안을 적극적으로 받아들이려는 노력이 필요한 때라는 지적도 나왔다.
HMM 인수를 위해서는 산업은행과 해양진흥공사가 보유한 합산 지분 70.5%를 인수해야 하고 이 과정에서 10조원 이상의 자금 확보가 필요하다는 분석이 제기됐다. 이는 현재 회사 자기자본과 현금 규모를 크게 웃도는 금액으로, 실행된다면 자산 매각·차입 확대·자산 이전 등 재무 구조 변화가 불가피하다. 실제로 스타키스트 지분을 동원F&B로 넘겨 약 2조원의 현금을 확보하는 방안이 거론된 것으로 전해졌다. 다만 잠재 인수후보로 포스코·하림·HD현대·한화 등이 거론되고 있어 결과를 예단하기 어려운 상황이다.

Deep-sea tuna and B2B affiliates are underpinning earnings power, while weak domestic B2C demand and shareholder-return delays tied to a possible large M&A weigh on the other side of the scale.
Dongwon Industries is the operating holding company of Dongwon Group, directly running deep-sea tuna fishing, seafood distribution, and logistics and construction on a standalone basis. On a consolidated basis it houses Dongwon F&B (canned tuna, the Yangban brand, pet food), Dongwon Home Food (foodservice ingredients, catering, seasonings), Dongwon Systems (packaging), Dongwon Loex (third-party logistics), StarKist (the top canned-tuna brand in the US) and SCASA (seafood processing in Senegal). A 2025 governance overhaul created a Global Food Division bundling Dongwon F&B, Dongwon Home Food, StarKist and SCASA, unifying the control tower for the food business. Dongwon F&B was delisted on 31 July 2025 through a comprehensive share swap and became a wholly owned subsidiary; the newly listed shares totalled 4,523,902, or 10.25% of total shares outstanding. Food dominates the revenue mix: in 2024 Dongwon F&B accounted for roughly half of Dongwon Industries' revenue, at KRW 4.4836tn. StarKist has been described as earning over KRW 1tn a year and contributing 11% of Dongwon Industries' revenue (KRW 1.1894tn) as the US number one. Its US canned-tuna market share is cited at around 45%, with annual revenue of roughly USD 800mn. Competitively, it faces domestic deep-sea and seafood players such as Sajo Industries and Dongwon Fisheries, global Thai and US canning brands overseas, and diversified food majors such as CJ CheilJedang and Daesang in processed foods. In short, the group verticalises catching (raw material), processing, packaging and logistics in-house - a structure that is both the source of its cost-absorption ability and a multi-channel exposure to cycle and input-cost swings.
The multi-year picture is one of profit recovery behind flat topline. Revenue was KRW 9.0263tn in 2022, KRW 8.9486tn in 2023 and KRW 8.9442tn in 2024 - essentially flat for three years - before rising to KRW 9.5837tn in 2025, while operating profit moved from KRW 494.4bn (2022) to KRW 464.7bn (2023), KRW 501.3bn (2024) and KRW 516.1bn (2025), holding an operating margin in the mid-5% area. Net profit attributable to owners, by contrast, collapsed from KRW 225.0bn in 2023 to KRW 75.3bn in 2024 before rebounding to KRW 367.0bn in 2025, driven less by operations than by the roughly KRW 210bn civil settlement over tuna price-fixing at US subsidiary StarKist booked in 2024. In 2025 non-controlling interests also shrank from KRW 450.3bn to KRW 173.7bn as Dongwon F&B became wholly owned, mechanically enlarging the owners' share of the same profit pool. Quarterly, revenue and operating profit went from KRW 2.3586tn / KRW 133.6bn in 2Q25 to KRW 2.5865tn / KRW 148.1bn in 3Q25, KRW 2.3192tn / KRW 109.5bn in 4Q25 (a 4.7% margin, the year's low), KRW 2.5300tn / KRW 146.2bn in 1Q26 and KRW 2.5720tn / KRW 151.5bn in 2Q26. The 2Q26 operating margin of about 5.9% was the highest of the last five quarters, yet net profit to owners of KRW 101.1bn fell from KRW 110.9bn in the prior quarter, so operating profit and bottom line diverged. Per the company, standalone first-half revenue rose 9.1% to KRW 632.2bn and operating profit 2.7% to KRW 122.6bn, supported by wider distribution of sashimi-grade tuna and mackerel. By affiliate, Dongwon F&B saw operating profit fall 7.2% on cost pressure and offline competition despite online growth, while Dongwon Home Food delivered evenly across seasonings, food ingredients, catering and meat distribution. Dongwon Systems posted first-half revenue of KRW 740.0bn (+5.2%) and operating profit of KRW 44.4bn (+15.5%) on eco-friendly packaging exports and overseas subsidiary growth, and Dongwon Loex grew revenue by nearly 10% on new shippers and transport efficiency. Financially, 2025 operating cash flow was KRW 466.0bn and the debt-to-equity ratio 110.1%, down from 146.4% in 2023.
Profitability in tuna is set by four variables: raw-fish prices, catch volumes, the exchange rate and fuel costs. In an April 2026 report, Hana Securities estimated purse-seine tuna prices at USD 1,800 per tonne, up 14% year on year, with catch volumes up 8%, and expected margin improvement at StarKist after an early-year pouch price increase of about 10%. Rising fish prices cut both ways inside the group - a higher selling price for the fishing arm, a higher input cost for canning and processing - so the effects partly offset each other. FAO GLOBEFISH noted that tuna catches at major global grounds declined in early 2025 and that frozen skipjack prices firmed on weak Western and Central Pacific fishing. On the demand side, domestic packaged-food prices keep rising: Dongwon F&B is raising canned-tuna prices, including Dongwon Tuna, by an average of 9% from 1 September 2026, citing high fuel and currency costs and surging packaging prices. Resource regulation is a constant. At its 2024 annual meeting the Western and Central Pacific Fisheries Commission raised Korea's annual Pacific bluefin catch limit for 2025-2026 from 748 tonnes to 1,219 tonnes. Competitively, the company is the largest Korean deep-sea operator and owns a leading US canning brand, giving it wider coverage from raw material to distribution than peers - but that breadth also disperses its defences when weak domestic consumption and a soft won arrive together. The group's growth narrative has shifted from domestic to overseas, and the fact that Dongwon F&B's global revenue was only about 2.2% of its total (KRW 97.3bn in 2024) captures both the opportunity and the task.

Management's stated direction rests on two pillars: global food and M&A. Dongwon Group has said it will concentrate on global M&A around the Global Food Division to pursue growth through diversification. It also plans to consolidate food affiliates into the global food division, reorganise R&D into a Global R&D Centre, and lift R&D spending from 0.3% of revenue in 2024 to more than 1% by 2030. In pet food, building on the Nutriplan brand's growth in the US and Japan, it plans overseas production lines about three times the size of its domestic capacity, with StarKist's American Samoa plant under review as the leading candidate for a dedicated pet-food line. The biggest swing factor for capital allocation, however, is HMM. On a February 2026 earnings call the company said the HMM story was at a review stage rather than a live transaction, and indicated that once the shape of any large investment is clear it would revisit the payout ratio and also carry out share cancellations. In a disclosure the company said it is reviewing multiple M&A options and, for funding purposes, plans to commission an external appraiser to value StarKist while also examining how much it could raise from financial institutions. That said, Dongwon Industries maintains that nothing specific has been decided on any particular acquisition. The upshot is that the key thing to watch over coming quarters is less the earnings trend than the capital-allocation choice - cash into a large acquisition, or cash into bigger shareholder returns.
The valuation rests on two facts. First, the shares trade at a price-to-book multiple below reported book value per share, and on the low side versus the food and beverage sector average (see the live card for the exact multiples). Second, the earnings figures reflect a recovery after the one-off StarKist settlement dropped out of the 2024 base, so any profit-based multiple should be read with that base effect in mind. On returns, two facts coexist: the dividend per share has risen five years running since 2020, and the consolidated payout ratio for fiscal 2025 was 13.8%, below even the 17.6% of 2023. Given the November 2024 corporate value-up plan in which the company pledged to raise the payout ratio in steps to 20%, 25% and 30% and to deliver a 40% total shareholder return, the gap between plan and execution is one of the key variables explaining the current multiples. Share cancellation has also slowed: after retiring all 13.96mn treasury shares (27.9%) in two rounds in August 2023 and May 2024, the May 2026 cancellation amounted to just 7,167 shares. Until it becomes clear whether capital allocation tilts toward a large acquisition or toward returns, a low multiple against net assets and unmet return targets are likely to sit side by side on the same screen.
Consolidated operating profit of KRW 151.5bn in 2Q26 was the highest of the last five quarters, with the margin improving to about 5.9%. The company said B2C food struggled with a weak won, higher costs and soft domestic demand, while wider channels and rising exports in B2B - food ingredients, packaging and logistics - drove group results. At Dongwon Systems, exports rose about 20% year on year as it pushed recyclable eco-friendly packaging under the Unisoje brand into North America, Asia and Africa. In effect, businesses on different cycles offset weakness in any single segment.
In an April 2026 report Hana Securities projected profit improvement in the core tuna business on higher fish prices and larger catches. Domestically, Dongwon F&B is lifting canned-tuna prices by an average of 9% from 1 September 2026, evidence that the channel for passing costs into prices is functioning. Because deep-sea catching (which benefits from higher selling prices) and canning (which bears higher input costs) sit under one roof, the net effect of fish-price swings is partly buffered. Price-increase effects typically flow through with a lag, so the impact will be visible in margins over the next few quarters.
