한화는 자체사업과 자회사 지분을 함께 보유한 한화그룹의 지배회사다. 자체사업은 건설과 글로벌 2개 부문으로 구성되며, 회사의 현금흐름은 자체사업 영업 현금흐름 45%, 배당수익 15%, 브랜드 라이선스 수익 40%로 짜여 있다. 2026년 1월 이사회에서 결정된 인적분할은 7월 15일 임시주주총회를 거쳐 8월 1일 시행됐고, 신설법인 한화머시너리앤서비스홀딩스는 8월 25일 유가증권시장에 재상장했다. 존속 한화는 방산과 조선·해양, 에너지, 금융을 중심으로 사업을 이어가고, 신설법인이 테크·라이프 계열사를 관리한다. 대신증권은 2026년 7월 자료에서 존속 한화가 방산·우주항공(한화에어로스페이스·한화시스템), 조선·해양(한화오션), 에너지·케미칼(한화솔루션·한화임팩트), 금융(한화생명)의 핵심 상장 자회사를 유지하고 자체사업으로는 건설 부문과 산업용 화약·첨단소재의 글로벌 부문을 영위한다고 정리했다. 분할 비율은 순자산 장부가액 기준으로 존속 0.7563533, 신설 0.2436467로 정해졌다. 이 비율에는 보통주 자기주식 4,450,816주 소각(2026년 4월 완료)과 제1우선주 156,425주 소각(2026년 5월 완료)이 반영됐다. 가치의 무게중심은 한 곳에 쏠려 있는데, 미래에셋증권은 2026년 8월 25일 리포트에서 재상장 존속법인 가치의 약 80%가 한화에어로스페이스에 집중된다고 밝혔고, 키움증권은 2026년 7월 29일 자료에서 한화 주가가 순자산가치의 약 90%를 차지하는 한화에어로스페이스 주가 흐름에 좌우돼 왔다고 분석했다. 경쟁 관계는 개별 제품시장보다 지주회사 구조 평가에서 형성되며, 자체사업에서는 국내 대형 건설사와 산업용 화약·소재 업체가 비교 대상이 된다.
확정 연결 실적을 보면 2025년 매출은 74조 7,854억원, 영업이익은 4조 1,469억원으로 2024년 매출 55조 6,468억원, 영업이익 2조 4,161억원을 크게 웃돌았다. 영업이익률은 2022년 4.0%, 2023년 4.5%, 2024년 4.3%에서 2025년 5.5%로 올라 마진이 한 단계 개선됐다. 다만 지배주주 순이익은 2025년 3,724억원으로 2024년 7,729억원보다 줄었는데, 2025년 순이익 총액 1조 9,916억원 가운데 지배주주 몫이 일부에 그친 구조가 원인이다. 자본총계 48조 4,353억원 중 비지배지분이 36조 5,951억원으로 지배주주지분 11조 8,402억원을 크게 웃돌아, 자회사 이익이 늘어도 지배주주 이익으로 흘러드는 비중은 제한된다. 분기 흐름은 2025년 2분기 매출 19조 2,422억원·영업이익 1조 3,348억원에서 3분기 17조 7,866억원·1조 3,442억원, 4분기 21조 1,140억원·3,953억원으로 흔들렸고 4분기에는 지배주주 순손실 1,532억원을 기록했다. 이후 2026년 1분기 매출 21조 4,514억원·영업이익 1조 2,667억원, 2분기 매출 28조 6,378억원·영업이익 2조 4,085억원으로 회복해 제공 구간 최대 분기 실적을 냈고 지배주주 순이익도 4,407억원으로 늘었다. 영업활동현금흐름은 2022년 1조 8,731억원에서 2023년 3조 7,934억원, 2024년 6조 8,810억원, 2025년 8조 3,202억원으로 꾸준히 확대됐고, 부채비율은 2022년 911.4%에서 2025년 497.4%로 낮아졌다(연결 기준이며 보험 자회사 부채가 포함된다). 별도 기준으로는 2025년 4분기 말 부채비율이 약 210% 수준이라고 보도됐다. 다만 이 연결 수치들은 분할 전 범위여서, 신설법인으로 이관된 자산의 2025년 매출 6조 716억원, 자산총계 11조 3,467억원이 과거 실적에 포함돼 있다는 점을 감안해야 한다. 자체사업만 보면 2026년 2분기 별도 매출 1조 13억원, 영업이익 1,133억원으로 전년 동기 대비 각각 11.4%, 12.6% 감소했고 순이익은 510억원으로 전년 적자에서 흑자로 돌아섰으며, 건설 부문이 매출 5,774억원·영업이익 584억원으로 각각 22%, 30% 줄고 글로벌 부문은 매출 3,535억원으로 7% 늘었지만 영업이익은 49억원으로 29% 감소했다(잠정치).
존속 한화의 전방시장은 방산, 조선·해양, 에너지, 금융, 그리고 자체사업의 건설·화약으로 나뉜다. 방산은 수출 물량이 실제 납품으로 인식되는 단계에 들어섰는데, 국내 방산 4사의 2026년 2분기 합산 매출은 13조 1,769억원, 영업이익은 1조 7,520억원으로 전년 동기 1조 2,849억원 대비 36.3% 증가했고 합산 영업이익률은 약 13.3%였다. 한화에어로스페이스는 2026년 2분기 연결 매출 9조 2,929억원, 영업이익 1조 3,655억원, 영업이익률 14.7%를 기록했고 지상방산 매출은 2조 1,075억원이었다. 지상방산 수주잔고는 약 38조 3,000억원으로, 핀란드 K9 자주포 추가 수출과 에스토니아 천무 추가 공급 계약이 반영됐다. 하반기 업계 관심은 미국 자주포 현대화, 스페인 자주포, 폴란드 추가 계약, 중동 프로젝트의 계약 성사 여부에 모이지만 수주 기대만으로 실적 지속성을 단정하기는 이르다는 지적도 있다. 조선은 고부가 선종 중심의 잔고가 쌓인 국면으로, 한화오션의 인도 기준 수주잔고는 153척·337억 7,000만달러이며 그중 LNG운반선이 57척·144억 6,000만달러로 40% 이상을 차지한다. 에너지·케미칼은 회복 초기 신호가 나타났고, 한화솔루션은 2026년 2분기 연결 매출 4조 5,826억원, 영업이익 3,065억원으로 전년 동기 대비 각각 47.01%, 200.33% 증가했으며 신재생에너지 부문이 매출 2조 4,823억원·영업이익 1,664억원을 냈다. 반면 자체사업의 전방인 국내 건설은 업황 침체와 원자재 부담이 겹친 환경으로 지목됐다.

회사가 공식화한 자본배분 방향은 비교적 구체적이다. 한화는 창출 현금흐름의 25%를 주주환원에 쓰고 잉여현금흐름과 배당재원 증가 시 추가 배당을 적극 검토하며, 2030년까지 시설투자·연구개발·지분투자에 걸쳐 총 7,000억원을 집행하고 가장 큰 비중인 45%는 재무구조 개선과 운영자금에 배분한다는 계획을 제시했다. 2025년 기준 약 2,000억원 규모인 이자비용의 현금 지출을 지속적으로 줄이겠다는 방침도 함께 제시됐다. 한화솔루션 유상증자 참여 재원은 추가 차입 없이 비영업용·비핵심자산 매각으로 조달한다는 방침이 재확인됐다. 자체사업 쪽 최대 변수는 이라크다. 회사는 비스마야 신도시 7만 세대 공사 재개 승인과 약 13조 4,000억원의 수주잔고(비스마야 9조 6,000억원 별도)를 근거로 하반기 실적 반등을 모색한다는 구상을 밝혔고, 재개 전제조건인 이라크 국무회의 승인을 기다리는 상태다. 글로벌 부문은 하반기 건설 수요 회복에 따른 화약 판매 증가와 석유화학 제품 가격 상승에 따른 트레이딩 외형 성장을 기대 요소로 꼽았다. 자회사 단위로는 한화에어로스페이스가 하반기 폴란드 K9 2차 실행계약 물량 양산과 이집트·호주 K9 납품을 이어간다는 방침을 밝혔고, 한화솔루션은 3분기 주택용 에너지 매출 증가와 카터스빌 공장의 태양광 밸류체인 본격 가동을 전망했다. 증권가 추정치로는 SK증권이 2026년 7월 21일 자료에서 2026년 연결 매출 86조 1,160억원, 영업이익 5조 4,550억원을 전망했으나, 이는 분할 시행 이전에 산출된 값이므로 존속법인 기준 실적과는 범위가 다르다는 점을 함께 볼 필요가 있다.
지주회사이므로 가격 논의의 중심은 이익 배수보다 보유 지분가치 대비 할인율에 놓인다. 삼성증권은 2026년 8월 26일 리포트에서 재상장 첫날 종가가 순자산가치 할인율 69% 수준이며 거래정지 직전 한 달 평균 61%보다 확대됐다고 설명하고, 할인율 확대는 거래정지 기간 주요 계열사 지분가치가 상승한 결과라고 밝혔다. 목표주가로는 미래에셋증권이 2026년 8월 25일 18만 5,000원을 제시했고, 삼성증권이 2026년 8월 26일 17만원으로 상향했으며, 키움증권이 2026년 7월 29일 16만 9,000원을 유지했고, SK증권은 2026년 7월 21일 자회사 주가 하락에 따른 순자산가치 감소를 반영해 13만원으로 하향했다 — 모두 각 증권사의 견해이며 코사이의 판단이 아니다. 주가순자산 관련 지표는 산출 기준에 따라 편차가 크다는 점도 유념할 필요가 있다. 지배주주지분만 분모로 쓰는지, 분할 이후 축소된 주식수와 순자산을 반영했는지에 따라 순자산 대비 할인 폭이 다르게 나타나며, 이익 기준 배수 역시 최근 네 개 분기 합산에 지배주주 순손실이 발생한 2025년 4분기가 포함돼 변동성이 크다. 배당은 정책상 하한과 현금흐름 25% 환원 방침이 공시된 반면 잉여현금흐름 기반 추가 배당은 검토 단계로, 실제 환원 규모는 아직 확정되지 않았다.

대신증권은 2026년 4월 자료에서 전체 순자산가치의 84%를 한화에어로스페이스 지분가치가 차지하며, 단일 자회사에 대한 지분가치 의존도가 높은 점은 주가 변동성 요인으로 작용할 수 있다고 밝혔다. 키움증권도 2026년 7월 한화 주가가 순자산가치의 약 90%를 차지하는 한화에어로스페이스 흐름에 좌우돼 왔다고 분석했다. 방산 업황이나 개별 계약 일정이 흔들릴 경우 지주회사 지표도 함께 흔들리는 구조라는 의미다.

2026년 2분기 별도 실적은 건설업 침체와 원자재 부담 등의 영향으로 영업이익이 전년 동기보다 12.6% 줄고 매출도 11.4% 감소했다(잠정치). 이라크 비스마야 재개는 이라크 국무회의 승인이라는 외부 변수에 걸려 있다. 한화솔루션 유상증자는 금융감독원의 정정신고서 요구가 반복되며 절차가 지연된 바 있고, 증자 규모도 1조 8,000억원으로 축소 조정됐다. 별도 기준 부채비율을 낮추기 위한 차입금 상환 계획이 진행되는 가운데, 계열 지원과 재무구조 개선이 동시에 요구되는 상황이다.

The August 2026 spin-off carved out the tech and life affiliates, leaving Hanwha Corporation as a holding company built on defense, shipbuilding, energy and finance stakes plus its own construction and global businesses, so its trajectory now hinges on affiliate earnings cycles and the discount applied to net asset value.
Hanwha Corporation is the controlling company of the Hanwha group, holding both operating businesses of its own and stakes in affiliates. Its own operations consist of two divisions, construction and global, and its cash flow is composed of 45% operating cash flow from those businesses, 15% dividend income and 40% brand license income. The spin-off approved by the board in January 2026 passed an extraordinary shareholder meeting on July 15 and took effect on August 1, with the new entity Hanwha Machinery & Service Holdings listing on the main board on August 25. The surviving Hanwha continues in defense, shipbuilding and offshore, energy and finance, while the new entity manages the tech and life affiliates. Daishin Securities noted in July 2026 that the surviving company retains the core listed affiliates in defense and aerospace (Hanwha Aerospace, Hanwha Systems), shipbuilding and offshore (Hanwha Ocean), energy and chemicals (Hanwha Solutions, Hanwha Impact) and finance (Hanwha Life), while running construction and a global division covering industrial explosives and advanced materials. The split ratio, based on book net asset value, was set at 0.7563533 for the surviving entity and 0.2436467 for the new one. That ratio reflected the cancellation of 4,450,816 common treasury shares in April 2026 and 156,425 first-series preferred shares in May 2026. Value is heavily concentrated in one asset: Mirae Asset Securities said in an August 25, 2026 report that roughly 80% of the relisted surviving entity's value sits in Hanwha Aerospace, and Kiwoom Securities noted on July 29, 2026 that the share price had tracked Hanwha Aerospace, which accounts for about 90% of net asset value. Competitive comparison therefore happens mainly at the holding-structure level, while the own businesses are benchmarked against large domestic builders and industrial explosives and materials suppliers.
Confirmed consolidated figures show 2025 revenue of KRW 74.785tn and operating profit of KRW 4.147tn, far above 2024 revenue of KRW 55.647tn and operating profit of KRW 2.416tn. The operating margin moved from 4.0% in 2022, 4.5% in 2023 and 4.3% in 2024 to 5.5% in 2025, a clear step up. Net profit attributable to owners, however, fell to KRW 372.5bn in 2025 from KRW 773.0bn in 2024, because only part of the KRW 1.992tn total net profit accrued to the parent's shareholders. Of total equity of KRW 48.435tn, non-controlling interests accounted for KRW 36.595tn against KRW 11.840tn for owners, so rising affiliate profit flows through to owners only in limited proportion. Quarterly results swung from KRW 19.242tn revenue and KRW 1.335tn operating profit in the second quarter of 2025 to KRW 17.787tn and KRW 1.344tn in the third, then KRW 21.114tn and just KRW 395.3bn in the fourth, which also carried a KRW 153.2bn net loss attributable to owners. Momentum then returned with KRW 21.451tn revenue and KRW 1.267tn operating profit in the first quarter of 2026 and a window-high KRW 28.638tn revenue with KRW 2.409tn operating profit in the second quarter, alongside KRW 440.7bn of net profit attributable to owners. Operating cash flow expanded steadily from KRW 1.873tn in 2022 to KRW 3.793tn in 2023, KRW 6.881tn in 2024 and KRW 8.320tn in 2025, while the debt-to-equity ratio fell from 911.4% in 2022 to 497.4% in 2025 on a consolidated basis that includes insurance subsidiary liabilities. On a parent-only basis, the ratio was reported at around 210% as of the end of the fourth quarter of 2025. These consolidated numbers predate the split, so it matters that the assets transferred to the new entity carried 2025 revenue of KRW 6.072tn and total assets of KRW 11.347tn. For the own businesses alone, preliminary second-quarter 2026 parent revenue was KRW 1,001.3bn and operating profit KRW 113.3bn, down 11.4% and 12.6% year on year, with net profit of KRW 51.0bn swinging back into the black from a prior-year loss; construction posted KRW 577.4bn revenue and KRW 58.4bn operating profit, down 22% and 30%, while the global division grew revenue 7% to KRW 353.5bn but saw operating profit fall 29% to KRW 4.9bn.
The surviving company's end markets split into defense, shipbuilding and offshore, energy, finance, and its own construction and explosives operations. Defense has moved into the phase where export backlogs convert into deliveries: the four largest Korean defense contractors posted combined second-quarter 2026 revenue of KRW 13.177tn and operating profit of KRW 1.752tn, up 36.3% from KRW 1.285tn a year earlier, for a combined margin of about 13.3%. Hanwha Aerospace reported second-quarter 2026 consolidated revenue of KRW 9.293tn, operating profit of KRW 1.366tn and a 14.7% margin, with ground defense revenue of KRW 2.108tn. Ground defense backlog stood at about KRW 38.3tn, reflecting additional K9 howitzer exports to Finland and a follow-on Chunmoo supply contract with Estonia. Industry attention in the second half is on whether the U.S. howitzer modernization program, the Spanish howitzer project, further Polish contracts and Middle East projects close, though observers caution that order expectations alone do not confirm earnings durability. Shipbuilding sits on a backlog skewed to high-value vessels: Hanwha Ocean's delivery-based backlog was 153 vessels worth USD 33.77bn, of which LNG carriers accounted for 57 vessels and USD 14.46bn, more than 40% of the total. Energy and chemicals show early recovery signals, as Hanwha Solutions posted second-quarter 2026 consolidated revenue of KRW 4.583tn and operating profit of KRW 306.5bn, up 47.01% and 200.33% year on year, with renewables contributing KRW 2.482tn of revenue and KRW 166.4bn of operating profit. By contrast, the domestic construction market feeding the own businesses was described as weighed down by a downturn and raw material cost pressure.

The company's stated capital allocation framework is relatively specific. Hanwha plans to direct 25% of generated cash flow to shareholder returns, actively consider additional dividends if free cash flow and distributable reserves grow, spend KRW 700bn in total through 2030 across facilities, research and development and equity investments, and allocate the largest share, 45%, to balance sheet repair and working capital. It also said it would keep reducing cash interest costs, which ran at roughly KRW 200bn in 2025. Funding for participation in the Hanwha Solutions rights offering is to come from sales of non-operating and non-core assets rather than new borrowing. On the own-business side, Iraq is the biggest swing factor. The company said it aims for a second-half rebound on the back of approval to restart the remaining 70,000 units of the Bismayah New City Project and a backlog of about KRW 13.4tn excluding Bismayah's KRW 9.6tn, and it is awaiting the Iraqi cabinet approval that is a precondition for the restart. The global division cited stable growth in explosives sales on recovering construction demand and top-line growth in trading from higher petrochemical prices. At the affiliate level, Hanwha Aerospace said it would continue second-tranche Polish K9 production and K9 deliveries to Egypt and Australia in the second half, while Hanwha Solutions guided to higher residential energy revenue in the third quarter and full operation of the solar value chain at its Cartersville plant. As for sell-side estimates, SK Securities projected on July 21, 2026 consolidated 2026 revenue of KRW 86.116tn and operating profit of KRW 5.455tn, though that estimate predates the split and therefore covers a different consolidation perimeter than the surviving entity.
As a holding company, the pricing debate centers less on earnings multiples than on the discount to the value of the stakes it holds. Samsung Securities said in an August 26, 2026 report that the first relisting-day close implied a net asset value discount of about 69%, wider than the 61% average of the month before the trading halt, and attributed the widening to the rise in key affiliate stake values during the halt. On price targets, Mirae Asset Securities set KRW 185,000 on August 25, 2026, Samsung Securities raised its figure to KRW 170,000 on August 26, 2026, Kiwoom Securities maintained KRW 169,000 on July 29, 2026, and SK Securities cut to KRW 130,000 on July 21, 2026 to reflect lower net asset value after affiliate share price declines - all of these are the brokers' own views, not KOSAI's. It is also worth noting that book-value-based metrics vary widely with the calculation basis. Whether only owners' equity is used as the denominator, and whether the reduced post-split share count and net assets are reflected, changes the size of the discount to net assets, while earnings-based multiples are volatile because the last four reported quarters include the fourth quarter of 2025, when net profit attributable to owners was negative. On dividends, a policy floor and the plan to return 25% of cash flow are disclosed, but any additional payout tied to free cash flow remains under consideration, so the eventual scale of returns is not yet fixed.
Among confirmed figures, second-quarter 2026 revenue of KRW 28.638tn and operating profit of KRW 2.409tn are the largest in the disclosed quarterly window. Hanwha Aerospace posted consolidated revenue of KRW 9.293tn, operating profit of KRW 1.366tn and a 14.7% margin in the same quarter, while Hanwha Ocean recorded KRW 5.443tn revenue and KRW 736.1bn operating profit, its best quarter since launch.
